Ambassador Program Terms & Conditions

• “Ambassador” means a person whose Program application has been approved by Nuvex Nova Operations and whose ambassador account is in active status.
• “Referral Link” means a unique tracked URL or code issued to an Ambassador through the ambassador dashboard.
• “Referred Client” means a new Client who creates a Nuvex Nova account through an Ambassador’s Referral Link and is attributed to that Ambassador under Section 4.
• “Platform Net” means the amount Nuvex Nova retains from a paid Task after the Tasker payout, as calculated by Nuvex Nova.
• “Earning Window” means the six (6) month period described in Section 6 during which a Referred Client’s payments can generate commissions.

To participate you must be at least 18 years old, reside in the United States, hold a Nuvex Nova account in good standing, and be able to receive payouts through our payment processor.

Enrollment is by application. Every application is reviewed by Nuvex Nova Operations, and we may approve or decline any application at our sole discretion without stating a reason. Until approved, your ambassador account is in pending status: you may complete your profile, but you cannot generate Referral Links or earn commissions.

You may hold only one ambassador account. Active Taskers may also participate in the Ambassador Program; participation in another Nuvex Nova program does not by itself make you ineligible. Nuvex Nova employees, contractors engaged in Operations, and their immediate household members are not eligible.

Ambassadors are independent participants in a referral program. Nothing in these Ambassador Terms creates an employment, agency, partnership, franchise, or joint-venture relationship. You have no authority to bind Nuvex Nova, make commitments on its behalf, or represent yourself as an employee or authorized agent of Nuvex Nova.

You control whether, when, and how you promote Nuvex Nova, subject to Sections 8 and 9.

Attribution is determined solely by Nuvex Nova’s tracking systems. A new Client is attributed to you only when they create their account within ninety (90) days after arriving through your Referral Link. Attribution is first-touch and cannot be transferred, backdated, or applied to an existing account.

Referral Links may be shared on your own websites, social profiles, messages, and in-person conversations. You may not use Referral Links in paid search advertising that bids on Nuvex Nova’s brand terms, in pop-ups, iframes, cookie-stuffing, link cloaking, or any technique designed to attribute users who did not knowingly click your link.

Nuvex Nova may deactivate any Referral Link at any time, including where we detect misuse or where the link’s destination is no longer available.

Subject to these Ambassador Terms, Ambassadors earn five percent (5%) of Platform Net on each eligible payment made by a Referred Client during the Earning Window.

For example, if a Referred Client pays $100 and the Tasker payout is $70, Platform Net is $30 and the Ambassador commission is $1.50.

Commissions are calculated on Platform Net, not on the gross Task price, and only once the underlying Task has been signed off and the Client’s payment has settled. Refunded, reversed, disputed, cancelled, or charged-back Tasks do not earn commissions, and any commission already credited for such a Task will be reversed.

Commission rates are disclosed in the ambassador dashboard and may be changed prospectively under Section 12. The rate in effect when a Task is paid applies to that Task.

The Earning Window for a Referred Client opens on the date of that client’s first payment on the Platform and closes six (6) months later. Only payments made by that Referred Client during the Earning Window generate commissions; the window is not based on how long the client keeps an account on the Platform.

You may not earn commissions on your own accounts, on accounts you control, or on Tasks you post or perform yourself.

Earned commissions first accrue as pending. They become available for payout once Operations has approved the earning and the underlying payment is outside the refund and dispute window.

7.1 Payout setup

You must complete payout onboarding with our payment processor (Stripe Connect) before any funds can be transferred. Nuvex Nova is not responsible for delays caused by incomplete onboarding or inaccurate banking details.

7.2 Scheduled payouts

Scheduled payouts run on the frequency you select in your dashboard once your available balance reaches one hundred U.S. dollars ($100): weekly on Friday by default, bi-weekly, or monthly. Scheduled payouts carry no fee.

7.3 Immediate payouts

You may request an immediate payout of your available balance at any time. Immediate payouts are subject to a five percent (5%) processing surcharge, deducted from the amount paid; this surcharge includes Stripe processing fees.

7.4 Adjustments

Nuvex Nova may withhold, offset, or claw back commissions that were credited in error, that relate to refunded or reversed Tasks, or that arise from conduct prohibited by these Ambassador Terms. Balances below the threshold at the time an ambassador account is closed for violation are forfeited.

You must not:

• Create fake, duplicate, or incentivized accounts, or refer yourself, household members acting on your behalf, or people who do not intend to use the Platform.
• Offer cash, rebates, or other inducements to sign up unless Nuvex Nova has approved the offer in writing.
• Send unsolicited bulk email, SMS, or direct messages, or post Referral Links where they are not welcome (spam).
• Make false, misleading, or unauthorized claims about earnings, pricing, vetting, guarantees, or any other aspect of Nuvex Nova.
• Bid on Nuvex Nova trademarks or misspellings in paid search, or register domains or social handles that impersonate Nuvex Nova.
• Interfere with tracking, attribution, or the Platform’s systems in any way.
• Promote Nuvex Nova alongside unlawful, hateful, adult, or deceptive content.

We may investigate suspected violations, pause payouts during an investigation, reverse affected commissions, and suspend or terminate the ambassador account.

Nuvex Nova grants you a limited, revocable, non-exclusive licence to use the Nuvex Nova name, logo, and approved marketing assets solely to promote the Platform through your Referral Links while you remain an active Ambassador. You may not alter our marks, combine them with other marks, or use them in a way that implies you are Nuvex Nova.

You are responsible for complying with all applicable advertising and consumer-protection laws, including clearly disclosing that you earn a commission when you recommend Nuvex Nova (for example, per FTC endorsement guidance).

Any content you create about Nuvex Nova remains yours, but you grant Nuvex Nova a royalty-free licence to reshare it in connection with the Program.

You are solely responsible for all taxes on amounts you earn through the Program. Nuvex Nova does not withhold taxes. Where required by law, we or our payment processor will collect taxpayer information and issue applicable tax forms (such as Form 1099), and you agree to provide accurate information when requested. Payouts may be held until required taxpayer information is on file.

You may leave the Program at any time by requesting deactivation from your dashboard or through our Contact page. Approved, available commissions above the payout threshold will be paid on the next scheduled run; pending commissions continue to mature and are paid once approved.

Nuvex Nova may suspend or terminate your participation at any time, with or without notice, for violation of these Ambassador Terms or the Terms of Service, suspected fraud, inactivity of twelve (12) months or more, or discontinuation of the Program. On termination for violation, unpaid commissions are forfeited to the extent permitted by law. On termination for any other reason, earned and approved commissions will be paid in the ordinary course.

Referral Links stop tracking when your account is suspended or terminated, and no commissions accrue during suspension.

Nuvex Nova may modify commission rates, payout thresholds, fees, the Earning Window, or any other aspect of the Program, or end the Program entirely, at any time. Material changes will be announced in the ambassador dashboard or by email before they take effect and apply prospectively to payments made after the effective date. Continued participation after the effective date constitutes acceptance.

• The Terms of Service — including its disclaimers, limitation of liability, indemnification, governing law, and arbitration provisions — apply to your participation in the Program.
• Nuvex Nova’s records are the definitive record of clicks, sign-ups, attributions, and commissions.
• You may not assign your ambassador account or any right to commissions.
• If any provision of these Ambassador Terms is held unenforceable, the remainder stays in effect.
