Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you,” “your,” or “User”) and Nuvex Nova, Inc. (“Nuvex Nova,” “we,” “us,” or “our”) governing your access to and use of the Nuvex Nova marketplace, websites, mobile applications, APIs, and related services (collectively, the “Platform”). Please read these Terms carefully. By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. IMPORTANT: SECTION 21 CONTAINS AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. If you do not agree to these Terms, you must not use the Platform.

1. Definitions

For the purposes of these Terms, the following capitalized terms have the meanings set forth below:

  • “Client” means a User — an individual or a business — who posts, funds, and manages Tasks on the Platform.
  • “Tasker” means an independent trade professional who applies to, is vetted for, and performs Tasks through the Platform.
  • “Ops” or “Operations” means Nuvex Nova’s internal operations personnel who coordinate, validate, and sign off on Tasks.
  • “Sales Representative” means an authorized commissioned representative who refers or onboards Clients to the Platform.
  • “Task” means a discrete unit of on-site trade work posted by a Client, including its scope, schedule, location, and pricing.
  • “Content” means any text, photos, documents, reviews, messages, or other materials submitted to or through the Platform.
  • “Escrow” means funds collected from a Client and held by Nuvex Nova (or its payment processor) pending completion and sign-off of a Task.
  • “Business Account” means a verified business Client account, which may include API access, team members, and consolidated billing.

2. Eligibility & Accounts

You must be at least 18 years of age, reside in the United States, and be capable of forming a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that you are not barred from using the Platform under any applicable law.

2.1 Account Registration

All Users must register with accurate, current, and complete information and keep such information up to date. You may register only one account per person unless we expressly permit otherwise. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

2.2 Tasker Verification

Before becoming eligible to receive Task offers, Taskers must complete each of the following:

  1. aGovernment-issued identity verification, including document review and automated name and date-of-birth matching.
  2. bA background check, which may include criminal record screening and a sex offender registry search where permitted by law.
  3. cA role-specific trade assessment, requiring a minimum passing score of 70% (or the applicable reliability assessment for certain service categories).
  4. dExecution of an Independent Contractor Agreement and completion of secure onboarding, including payout setup via our payment processor.

Taskers in licensed trades who wish to perform licensed-scope work must additionally submit a valid professional license for review and approval (“Certified Pro” status). Certified Pro status lapses automatically upon license expiration and must be renewed.

2.3 Client Requirements

Clients must maintain a valid payment method on file to post and fund Tasks. Clients are responsible for the accuracy of Task scope, site access instructions, and any site conditions that may affect the safety or performance of the work, and for ensuring lawful authority to request work at the listed site.

2.4 Business Accounts

Business Accounts are subject to verification, including review of business documentation. The individual who registers a Business Account represents that they are authorized to bind the business to these Terms. Business Accounts may be subject to additional terms, tiers, quotas, and API usage policies disclosed at signup or in the Platform.

2.5 Account Suspension

We may suspend accounts that remain inactive for extended periods, fail verification, or present a risk to the community. Suspended accounts may be reinstated at our discretion or permanently offboarded.

3. Nature of the Platform

Nuvex Nova provides a technology marketplace that connects Clients with independent Taskers and facilitates scheduling, on-site verification, communication, and payment. Nuvex Nova is not a construction contractor, staffing agency, or employer of Taskers, and does not itself perform trade work.

Taskers are independent contractors and not employees, agents, partners, or joint venturers of Nuvex Nova. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Nuvex Nova and any Tasker. Taskers retain sole discretion over whether, when, and how to accept and perform Tasks, subject to the standards described in these Terms.

While we vet Taskers as described in Section 2, we do not guarantee any particular outcome of the vetting process, and vetting is not an endorsement or guarantee of any Tasker’s work.

4. Tasks, Pricing & Payments

4.1 Task Posting

When a Client posts a Task, the Platform may generate a recommended price based on trade tier, complexity, urgency, and estimated duration. Clients may adjust certain inputs; Tasks priced below the recommended estimate may be flagged for Operations review before publication.

4.2 Funding & Escrow

Depending on the billing model selected, Task payments are either collected upfront or charged upon completion. Upfront payments are held in Escrow until the Task is completed and signed off by Operations. Post-completion charges are made to the Client’s saved payment method after Operations sign-off. Nuvex Nova uses third-party payment processors, and your use of payment features is subject to their terms. You authorize us and our payment processor to charge your designated payment method for all amounts due under these Terms.

4.3 Overages

If a Task requires additional time or scope beyond the original estimate, Operations may request an overage. Overage charges are calculated based on the applicable hourly rate and additional hours, and are subject to Client approval before the work continues where required. For hourly Tasks, actual verified hours worked may result in a final charge that differs from the initial estimate.

4.4 Pausing & Cancellation

A Client may pause or cancel a Task. In such cases, a bill for verified hours worked up to the pause or cancellation may be generated, and any remaining Escrow balance may be converted to platform credit. Platform credits are non-transferable and non-refundable as cash except where required by law. Paused Tasks that are not resumed within the applicable window may expire.

4.5 Fees

Nuvex Nova charges service fees that may include a platform take rate and dispatch or coordination fees. Applicable fees are disclosed before a Task is funded. Multi-Task bookings may qualify for platform-funded bundle discounts, which do not reduce Tasker payouts. We may modify our fees on a prospective basis with notice.

4.6 Taxes on Purchases

Prices shown may exclude applicable taxes. Clients are responsible for any sales, use, or similar taxes imposed on their purchase of services through the Platform, which will be collected where we are required to do so.

5. Tasker Obligations

By accepting a Task, each Tasker agrees to:

  1. aPerform the Task competently, safely, and in accordance with the agreed scope and applicable codes and standards.
  2. bMaintain accurate location reporting and check-in status while a Task is active, where the Platform requires geolocation verification.
  3. cRemain on-site for the duration of the Task unless the Task is formally paused, closed, or reassigned through the Platform.
  4. dRespond to Task offers within the specified window and communicate promptly with Clients and Operations.
  5. eProvide required completion proof, including before-and-after photos and completion notes where requested.
  6. fMaintain professional conduct at all Client sites and comply with all applicable laws, licensing, and insurance requirements for the trade.
  7. gPerform only work within the scope permitted by their approved skills and, for licensed-scope work, hold current Certified Pro status in the relevant trade.

Taskers who leave a Task site before completion without formally closing the Task, or who fail to meet these obligations, may be subject to payout adjustments, quality-control review, or account action at Operations’ discretion.

6. Tasker Insurance, Licensing & Taxes

6.1 Licensing & Insurance

Taskers are solely responsible for obtaining and maintaining any licenses, permits, registrations, certifications, and insurance (including general liability and, where required, workers’ compensation coverage) required by applicable law for the work they perform. Nuvex Nova does not provide insurance coverage to Taskers, and vetting or approval on the Platform is not a substitute for legally required credentials.

6.2 Taxes

As independent contractors, Taskers are solely responsible for reporting and paying all taxes on amounts earned through the Platform, including income and self-employment taxes. Nuvex Nova does not withhold taxes from payouts. Where required by law, we or our payment processor will issue applicable tax forms (such as Form 1099) based on the information you provide during onboarding, and you agree to provide accurate taxpayer information.

6.3 Equipment & Expenses

Taskers provide their own tools, equipment, transportation, and materials except where a Task expressly provides otherwise. Reimbursable materials must be documented through the Platform’s materials process to be eligible for reimbursement.

7. Tasker Payouts

Tasker payouts are calculated based on the verified hourly rate multiplied by actual hours worked, as recorded and confirmed during Operations sign-off, or on a fixed-price basis where applicable.

Payouts follow an approval chain: they must be approved by a departmental manager and scheduled for payment by finance before transfer. Taskers must maintain active payout onboarding with our payment processor to receive funds. Payout amounts may not be finalized or disclosed until sign-off and approval are complete.

Nuvex Nova may withhold, offset, or adjust payouts in cases of verified quality failures, unresolved disputes, fraudulent activity, or amounts owed to Nuvex Nova, to the extent permitted by law. Nuvex Nova is not responsible for delays caused by incomplete payout onboarding, incorrect banking details, or third-party processor holds.

8. Sales Representatives

Authorized Sales Representatives may earn a commission on qualifying paid Tasks posted by Clients they have directly referred or onboarded, at the rate disclosed in the Platform at the time of the referral. Commissions are auto-calculated and require Operations approval before transfer.

Sales Representatives agree to represent Nuvex Nova accurately, refrain from making unauthorized guarantees, and maintain professional conduct when communicating with prospects and Clients through the Platform’s messaging features. Nuvex Nova may adjust, withhold, or reverse commissions associated with fraudulent, reversed, or disputed transactions, and may deactivate Sales Representative status for violations of these Terms.

9. Dispute Resolution Between Users & Refunds

Clients may raise a dispute regarding completed work through the Platform’s Dispute Center within the applicable window. Operations will review the claim, communicate with the parties, and issue a resolution, which may include rework, partial or full refund, or release of Escrow to the Tasker.

Refunds, when approved, may be issued to the original payment method or as platform credit at Nuvex Nova’s discretion, subject to manager approval. Nuvex Nova’s resolution of a dispute is final for purposes of the Platform, without limiting any rights the parties may have under applicable law.

Disputes between Users (for example, a Client’s claim against a Tasker for property damage) are between those Users. We may, but are not obligated to, assist in resolving such disputes, and you release Nuvex Nova from claims, demands, and damages arising out of disputes between Users to the maximum extent permitted by law.

10. Acceptable Use

You agree not to, and not to permit others to:

  • Use the Platform for any unlawful, fraudulent, or unauthorized purpose.
  • Circumvent the Platform to solicit or complete off-platform transactions that avoid applicable fees.
  • Misrepresent your identity, qualifications, licensing, or insurance status.
  • Upload Content that is infringing, defamatory, harassing, obscene, or otherwise objectionable.
  • Harass, threaten, discriminate against, or harm any other User, or engage in unwelcome conduct at any Task site.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its systems, or probe or test the vulnerability of any Nuvex Nova system.
  • Scrape, harvest, or collect data from the Platform, or use automated means to access it, without our written permission.
  • Falsify location, time-tracking, or completion data, or manipulate reviews or ratings.
  • Use the Platform to send spam or unauthorized commercial communications.
  • Copy, frame, or mirror any part of the Platform, or use our trademarks, without authorization.

We may investigate suspected violations and take any action we deem appropriate, including removing Content, suspending or terminating accounts, withholding payouts as permitted by law, and reporting to law enforcement.

11. User Content & License

You retain ownership of Content you submit. By submitting Content, you grant Nuvex Nova a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, and use that Content as necessary to operate, improve, and promote the Platform.

You are solely responsible for your Content and represent that you have the necessary rights to submit it and that it does not violate any law or third-party right. We may, but have no obligation to, monitor, moderate, or remove Content that violates these Terms.

Reviews must reflect your genuine experience. You may not post reviews of yourself, trade reviews for compensation, or post reviews intended to mislead other Users.

12. Feedback

If you provide us with suggestions, ideas, improvements, or other feedback about the Platform (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, disclose, reproduce, and otherwise exploit the Feedback for any purpose without restriction or compensation to you. We are under no obligation to use or act on any Feedback.

13. Intellectual Property

The Platform, including its software, design, branding, trademarks, logos, text, graphics, and all associated intellectual property, is owned by Nuvex Nova or its licensors and is protected by copyright, trademark, and other applicable laws. Except for the limited rights expressly granted to you, we reserve all rights.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works from any part of the Platform without our prior written consent, except to the extent such restriction is prohibited by law.

If you believe Content on the Platform infringes your copyright, please notify us through our Contact page with sufficient detail to identify the material and your claim, and we will respond in accordance with applicable law.

14. Third-Party Services

The Platform integrates with third-party services, including payment processing, identity verification, background screening, and mapping providers. Your use of these services may be subject to their own terms and privacy policies. Nuvex Nova is not responsible for the acts, omissions, or content of third-party services, and links to third-party websites do not imply endorsement.

15. Communications & Electronic Notices

15.1 Electronic Communications

By creating an account, you consent to receive communications from us electronically, including emails, in-app notifications, and messages related to your account and Tasks. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

15.2 Transactional Messages

We send transactional messages that are necessary to operate the Platform — such as Task offers, status updates, receipts, dispute correspondence, and security alerts. Because these are essential to the service, you may not opt out of them while maintaining an active account.

15.3 Marketing

You may opt out of marketing emails at any time using the unsubscribe link in the email or by contacting us.

15.4 Electronic Signatures

Where the Platform asks you to sign a document electronically (such as the Independent Contractor Agreement or onboarding documents), your typed name, click, or other electronic act constitutes your legal signature with the same force and effect as a handwritten signature.

16. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nuvex Nova does not guarantee the quality, safety, legality, or outcome of any Task performed by a Tasker, nor the accuracy of any Client-provided information. Vetting, assessments, background checks, and Certified Pro review reduce risk but do not eliminate it and are not guarantees. Nuvex Nova does not warrant that the Platform will be uninterrupted, secure, or error-free, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVEX NOVA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PROPERTY, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVEX NOVA’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO NUVEX NOVA IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Nuvex Nova and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use of the Platform; (b) your Content; (c) any Task you post or perform; (d) your violation of these Terms; or (e) your violation of any law or third-party right, including intellectual property, licensing, and privacy rights.

19. Termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, fail verification, engage in fraudulent activity, or create risk or legal exposure for Nuvex Nova.

Upon termination: (a) your right to use the Platform ceases immediately; (b) any Tasks in progress may be reassigned or cancelled at Operations’ discretion; (c) amounts properly owed to you for verified completed work will be paid out per the normal approval process, subject to offsets permitted by law; and (d) amounts you owe to Nuvex Nova remain due.

Provisions that by their nature should survive termination — including ownership, feedback, disclaimers, limitation of liability, indemnification, and dispute provisions — will survive.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Platform, by email, or by other reasonable means before the changes take effect. Changes are effective as of the date posted. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

21. Governing Law, Arbitration & Class Action Waiver

21.1 Governing Law

These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict-of-law principles.

21.2 Informal Resolution

Before filing a claim, you agree to first contact us through our Contact page and attempt to resolve the dispute informally for at least thirty (30) days.

21.3 Binding Arbitration

Except where prohibited by law, any dispute arising out of or relating to these Terms or the Platform that is not resolved informally will be resolved through binding individual arbitration administered by a recognized arbitration provider under its consumer arbitration rules, rather than in court. YOU AND NUVEX NOVA EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

21.4 Exceptions & Opt-Out

Either party may bring an individual claim in small claims court, and this section does not prevent either party from seeking injunctive relief for intellectual property or unauthorized access claims. You may opt out of arbitration within 30 days of first accepting these Terms by contacting us through our Contact page with a written statement that you wish to opt out.

21.5 Severability of Waiver

If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, and the remainder shall proceed in arbitration.

22. General Provisions

  • Entire agreement: these Terms, together with our Privacy Policy and any additional agreements you enter through the Platform (such as the Independent Contractor Agreement), constitute the entire agreement between you and Nuvex Nova regarding the Platform and supersede all prior agreements on that subject.
  • Severability: if any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
  • No waiver: our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment: you may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
  • Force majeure: we are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet or utility failures, and third-party service outages.
  • No third-party beneficiaries: these Terms do not confer any rights on any person other than you and Nuvex Nova.
  • Headings: section headings are for convenience only and have no legal effect.
